SIGNALIGENT

Terms of Service

1. Who we are and what applies

Signaligent is operated by Yacht Advisor FZ-LLC, registered in the Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates, licence 47028181, registration 0000004080738 ("we", "us"). These Terms of Service, the Subscription Terms, the Acceptable Use Policy, the Refunds and Cancellation rules and the Data Processing Information together form the agreement between you and us (the "Agreement"). If they conflict, these Terms prevail, except that the Data Processing Information prevails on the processing of personal data on your behalf. Your own terms of business do not apply, even if you refer to them in an order, invoice or email.

2. Business customers only

Signaligent is offered exclusively to businesses. By creating an account you confirm that you act for a company or in the course of your trade, business or profession, and that you are authorised to bind the business you sign up for. Consumers may not use the service. If an account turns out to have been opened by a consumer, we may close it and refund prepaid fees for the unused period.

3. How the Agreement is formed

The Agreement starts when you create an account and accept these Terms. A paid plan starts when your payment is completed in the checkout. Paddle.com is the merchant of record and sells the subscription to you; we provide the service. Paddle's buyer terms govern the payment itself.

4. The service

Signaligent automatically fetches publicly available web pages and lawful data sources that you choose, compares them over time and notifies you about changes. Some features add automated assessments or optional AI summaries.

  • Results depend on third-party sources that can be incomplete, wrong, delayed, blocked or discontinued. We do not guarantee that a source is available, that every change is detected or that a notification arrives at a particular time.
  • Assessments, scores and AI summaries are automated estimates. They can be wrong and are not legal, financial, investment or other professional advice. You decide what to do with them and check important information at the source before you act on it.
  • We develop the service further and may change, add or remove features, sources and limits, provided the core function of your plan is preserved. If a change materially reduces your paid plan, you may cancel and receive a pro rata refund of prepaid fees for the unused period.

5. Availability

We aim for high availability but do not promise a particular uptime. Maintenance, updates, outages of hosting or network providers and measures against attacks can interrupt the service. We announce planned maintenance in advance where we can.

6. Your account and users

Keep your login details confidential and give access only to people who work for your business. You are responsible for everything done through your account. Tell us at pd@yachtaddress.com without delay if you suspect misuse. Your account details must be accurate. Each business may use one free trial.

7. Your responsibilities

You alone decide which pages, companies and sources you monitor and how you use the results. You are responsible for doing so lawfully, in particular under competition, unfair commercial practices, data protection, intellectual property, trade secret and anti-spam laws, and in line with any website terms that bind you. You must follow the Acceptable Use Policy. You may not copy, decompile or reverse engineer the service, access it by automated means other than the features we provide, get around plan limits or technical restrictions, or use the service to build a competing product.

8. Your content and data

Content you enter or upload, such as addresses, search profiles, notes and documents, remains yours. For the term of the Agreement you grant us a non-exclusive licence to store, copy and process it as far as needed to provide and secure the service. You confirm that you hold all rights needed for the documents you upload and share. We may use aggregated, anonymised usage data that identifies neither you nor the companies you monitor to run and improve the service.

9. Third-party content

Content fetched from third-party sources belongs to its owners. We pass it on to you so that you can see what changed. We grant no rights to it; you may use it within the limits of the law.

10. Our rights

The service, its software, design, databases and reports belong to us or our licensors. During the Agreement you may use the service and the reports it produces for the internal purposes of your business and share individual reports and report links with your colleagues and advisers. You may not use the Signaligent name or brand without our written consent.

11. Fees

Plans, limits and prices are shown on the pricing page and governed by the Subscription Terms. We may change prices with at least 30 days' notice by email. A new price applies from your next renewal, and you may cancel before then.

12. Suspension

We may suspend monitors or your account, in whole or in part, if you breach the Agreement or the Acceptable Use Policy, if a payment remains unpaid after Paddle's retry period, if your use creates a security risk or exposes us or third parties to legal claims, or if an authority or court requires it. We tell you the reason and lift the suspension once the cause is removed. Suspension does not reduce fees that are due.

13. Term and termination

Subscriptions run for the billing period you chose and renew automatically until cancelled. You can cancel at any time with effect from the end of the current billing period. We may terminate with 30 days' notice by email; in that case we refund prepaid fees for the unused period. Either party may terminate immediately for good cause, in particular for a material or repeated breach, unlawful use, breach of section 19 or insolvency. Until the end date you can export your data under Settings. Afterwards we delete it as described in the Privacy Policy.

14. Warranty

We provide the service as described in the Agreement. Beyond that, and as far as the law permits, we give no warranties or guarantees, express or implied, in particular none of fitness for a particular purpose or of the completeness, accuracy or timeliness of results.

15. Liability

As far as the law permits:

  • We are not liable for indirect or consequential loss, lost profit or revenue, lost contracts, tenders or business opportunities, loss of data you could have exported, or loss resulting from decisions based on signals, assessments or summaries.
  • Our total liability arising from or in connection with the Agreement, on whatever legal basis, is limited to the fees you paid for the service in the twelve months before the event giving rise to the claim. During a free trial it is limited to EUR 100.
  • These limits do not apply to liability for fraud, wilful misconduct, gross negligence, death or personal injury, or any other liability that cannot be limited under applicable law.

16. Indemnity

You indemnify us, our managers and staff against third-party claims, fines and reasonable legal costs arising from your choice of what to monitor, your use of results, content you upload or share, or your breach of the Agreement or the law. We tell you about such a claim promptly and let you take part in the defence.

17. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for the Agreement. Which companies and pages you monitor is confidential: our fetches identify themselves as SignaligentBot and never as you, and no other customer can see what you watch. These duties continue for three years after the Agreement ends.

18. Data protection

How we handle personal data is described in the Privacy Policy. Where we process personal data on your behalf, the Data Processing Information applies and you are the controller of that data.

19. Sanctions

You confirm that neither you nor the owners of your business are subject to sanctions of the United Nations, the United Arab Emirates, the European Union, the United Kingdom or the United States, and that you will not use the service in breach of such sanctions.

20. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, terrorism, official measures, epidemics, outages of public networks or major cloud providers, or attacks on IT systems.

21. Changes to the Agreement

We may change the Agreement with at least 30 days' notice by email, for example because of new features, legal requirements or changes by our providers. If you do not object before the change takes effect, it applies from that date; the notice points this out. If you object, either party may terminate with effect from the change date, and we refund prepaid fees for the unused period.

22. Notices

We send notices to the email address of your account owner. Send notices to us at pd@yachtaddress.com. Email satisfies any written form required by the Agreement.

23. General provisions

  • You may transfer the Agreement only with our written consent. We may transfer it to an affiliated company or to a buyer of the Signaligent business and will tell you in advance.
  • The Agreement is the entire agreement on its subject. Changes require written form; email is sufficient.
  • If a provision is invalid, the rest remains valid, and the invalid provision is replaced by a valid one that comes as close as possible to its purpose.
  • Not enforcing a right does not waive it.
  • Sections 14 to 17 and 24, and any other provision that by its nature should continue, survive the end of the Agreement.

24. Language, law and jurisdiction

These Terms are available in English and German. If the versions differ, the English version prevails. The Agreement is governed by the laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah. The courts of Ras Al Khaimah have exclusive jurisdiction for all disputes arising from or in connection with the Agreement. We may also bring proceedings at your registered seat.
